you get the modified content warning if you havent updated punkbuster in vista.
Due to vista UAC security it stoplalalalalabuster auto updating thus giving you the modified content warning go to their website and update punkbuster using their auto updater

run bf2142 with administrator priveleges by right clicking and selecting run as admin and it shoudl work
this method worked for me as long as the game is patched to 1.50
